Welcome to our indexing software Indexguru as a service provided by Infinite Developer Theorem, Inc. These Terms of Service ("Terms") govern your access to and use of our website indexing software as a service application (the "Service").
By accessing or using the Service, you signify your agreement to these Terms. If you do not agree to any part of these Terms, you may not access or use the Service.
The Service allows you to automatically index web pages on your website for search engines like Google. We make no guarantees about search engine rankings or traffic from the use of this Service. You use this Service at your own risk.
Our Service is provided on a subscription basis. You will be billed monthly or annually based on your subscription plan. Payment must be made via credit card through our third-party payment processor Stripe.
Under no circumstances shall Indexguru be liable for any indirect, incidental, special, consequential or exemplary damages arising out of or in connection with your access or use of or inability to access or use the Service. Our maximum liability for any damages arising out of or related to these Terms shall not exceed the amounts paid by you to Indexguru under these Terms in the three (3) months preceding the incident giving rise to the liability.
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
You agree to defend, indemnify, and hold harmless Indexguru, its officers, directors, employees, and agents from and against any third party claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your access or use of the Service, violation of these Terms, applicable law, or any content you post, email, transmit, or otherwise make available via the Service. In no event shall Indexguru's aggregate liability exceed the amounts paid by you during the three (3) months preceding the event giving rise to liability.
These Terms shall be governed by the laws of the State of California without regard to conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
We reserve the right to modify these Terms at any time. Updated versions will be posted on our website and are effective immediately. Continued use of the Service after updated Terms signifies your acceptance of the changes. You are responsible for checking for updates regularly. We will provide notice of material changes by posting the revised Terms on the login page or via email. Immaterial modifications are effective upon publication.
We reserve the right to suspend or terminate your account at any time for any reason. We may also suspend or terminate your account if you violate these Terms. Upon termination, we may delete or deactivate your account and all related data. We are not liable to you for any damages related to your account termination.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between you and Indexguru related to the Service. These Terms supersede any prior or contemporaneous agreements between you and Indexguru.
